zLive Terms of use
Last Updated: May 2, 2024PLEASE READ CAREFULLY. These Terms of Use (“Terms”) include a binding arbitration provision in Section 8 that affects your rights. Unless you opt out where permitted by law, disputes may be resolved by individual arbitration and not in court.
These Terms are a binding agreement between Digitwind UAB (“Company”, “we”, “us”) and you (“you”, “User”). They govern your access to and use of:
- the zLive mobile application (the “App”)
- our website zlive.app (the “Site”)
- any related services, features, content, or support (collectively, the “Service”)
If you do not agree to these Terms, do not access or use the Service.

1. Scope and contractual relationship
1.1. What these Terms cover. These Terms apply to all access to and use of the Service, including registration, browsing, live video features, chats, virtual items, and any other functionality we make available now or later.
1.2. Related policies and rules. Your use of the Service is also governed by our Privacy Policy and any community rules or guidelines shown in the App or on the Site (collectively, the “Policies”). If there is a conflict between these Terms and a Policy, these Terms control unless stated otherwise.
1.3. No employment or agency relationship. Nothing in these Terms creates a partnership, employment, agency, or joint venture between you and the Company.
1.4. Changes to these Terms. We may modify these Terms from time to time. We will post the updated version and update the “Last updated” date. Your continued use of the Service after the changes become effective means you accept the revised Terms.
2. Eligibility
2.1. Age requirement. You must be at least 18 years old (or older if your jurisdiction requires a higher age) to use the Service.
2.2. Availability and legal compliance. You may not use the Service where prohibited by law or where we do not offer the Service. You agree to comply with all applicable laws and regulations.
2.3. Sanctions and export controls. You may not use the Service if you are prohibited from receiving services under applicable sanctions, export control, or similar laws.
2.4. Verification. We may require you to verify your age or eligibility. If you fail verification (or refuse where verification is required), we may restrict, suspend, or terminate your access.
3. Registration and accounts
3.1. Account creation. Some features require an account. You agree to provide accurate information and keep it up to date.
3.2. One person, one account. Unless we explicitly allow otherwise, you may maintain only one account and may not share or transfer your account to anyone else.
3.3. Account security. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access or misuse.
3.4. Suspension, limitation, or termination. We may suspend, limit, or terminate your account or access if we reasonably believe you have violated these Terms, our Policies, or applicable law, or if your use creates risk or harm to users or the Company.
3.5. Device and abuse prevention measures. We may use technical measures (including device signals) to prevent fraud, repeated violations, or attempts to evade enforcement actions.
4. Use of the Service
4.1. Personal, non-commercial use. The Service is intended for personal, non-commercial use unless we expressly authorize otherwise in writing.
4.2. Prohibited conduct. You must not, and must not attempt to:
a) violate any law, regulation, or third-party right;
b) harass, threaten, abuse, defame, or impersonate others;
c) exploit or endanger minors in any way (zero tolerance);
d) post, stream, or share content that is illegal, hateful, or incites violence;
e) engage in fraud, scams, or deceptive practices;
f) bypass safety controls, moderation systems, access restrictions, or payment flows;
g) use bots, scraping tools, unauthorized automation, or reverse engineering;
h) upload malware, spam, or otherwise disrupt the Service;
i) collect, harvest, or share other users’ personal data without permission;
j) record, capture, or redistribute other users’ content where prohibited by our Policies or applicable law.
4.3. Moderation and enforcement. We may (but are not obligated to) monitor, review, remove, restrict, or disable content or accounts to enforce these Terms, our Policies, and safety standards.
4.4. Reporting. If you believe a user or content violates these Terms or our Policies, use in-app reporting tools where available or contact us at [email protected].
5. Intellectual property
5.1. Ownership of the Service. The Service, including software, design, text, graphics, logos, trademarks, and other Company-provided content (“Company Content”), is owned by or licensed to the Company and protected by intellectual property laws.
5.2. License to use. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.
5.3. Restrictions. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service or Company Content except as permitted by law or by us in writing.
6. User content
6.1. Your responsibility for user content. You are responsible for any content you submit, stream, upload, send, or otherwise make available through the Service (“User Content”).
6.2. License you grant to the Company. By providing User Content, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, distribute, display, perform, adapt, and otherwise use your User Content solely to operate, improve, secure, and promote the Service and to enforce these Terms.
6.3. Your rights and permissions. You represent and warrant that you have all rights necessary to provide User Content and that it does not violate any law or third-party rights (including privacy, publicity, and intellectual property rights).
6.4. Removal of user content. We may remove or restrict User Content at any time, including if we believe it violates these Terms or our Policies.
7. Community guidelines summary
7.1. Respect and safety. Treat others with respect. Harassment, bullying, hate, discrimination, threats, and unwanted sexual content are not allowed.
7.2. Child safety. Any content involving the sexual exploitation of minors is strictly prohibited and may be reported to relevant authorities.
7.3. Illegal activity. Do not use the Service to facilitate illegal conduct, including violence, trafficking, or fraud.
7.4. Privacy and consent. Do not share private information (yours or someone else’s) without consent. Do not publish or distribute recordings of other users where prohibited.
7.5. Enforcement actions. Violations may result in content removal, feature limitations, account suspension or termination, and reporting to authorities where required.
8. Dispute resolution and arbitration
8.1. Informal resolution first. Before starting a formal dispute, you agree to contact us at [email protected] and attempt to resolve the issue informally.
8.2. Binding individual arbitration. Except where prohibited by law, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis, not in court.
8.3. Waiver of class and representative actions. You and the Company agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
8.4. Exceptions. Either party may pursue a claim in small claims court (if eligible) or seek injunctive or equitable relief for misuse of intellectual property or unauthorized access, where permitted by law.
8.5. Procedure and location. The arbitration procedure, seat, language, and administering body will be defined in the version of these Terms applicable to your jurisdiction, to the extent required by law.
9. In-app purchases and virtual items
9.1. Virtual items have no monetary value. The Service may include virtual items (such as coins, gifts, or features) (“Virtual Items”). Virtual Items are not currency, have no cash value, and are not property.
9.2. Billing through platform providers. Purchases may be processed through Apple App Store, Google Play, or other authorized payment providers. Additional terms from those providers may apply.
9.3. No resale or transfer. Virtual Items are generally non-transferable and may not be sold, traded, exchanged, or redeemed outside the Service.
9.4. Changes to virtual items and features. We may modify, remove, or re-price Virtual Items and related features at any time, subject to applicable law.
9.5. Refunds. Refund eligibility is governed by the payment provider’s policies (for example, Apple or Google) and applicable law.
10. Interactions between users
10.1. You are responsible for your interactions. You are solely responsible for your interactions with other users, including what you share and how you communicate. Use caution when meeting anyone in person.
10.2. No guarantees about other users. We do not guarantee the identity, intentions, or conduct of any user, and we do not pre-screen all content or behavior.
10.3. Recording and redistribution. You must not record, capture, or redistribute other users’ content except where explicitly allowed by the Service and applicable law.
11. User representations and warranties
You represent and warrant that:
a) you meet the eligibility requirements and have the legal capacity to accept these Terms;
b) your use of the Service will comply with these Terms, our Policies, and applicable law;
c) your User Content is lawful and you have all rights required to provide it;
d) you will not use the Service for fraud, abuse, or unauthorized automation;
e) information you provide to us is true, current, and complete.
12. Disclaimers of warranties
12.1. Service provided “as is”. The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12.2. Availability and security. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
13. Limitation of liability
To the maximum extent permitted by law, the Company and its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to the Service or these Terms.
If liability cannot be fully excluded under applicable law, it will be limited to the maximum extent permitted by law.
14. Indemnity
You agree to defend, indemnify, and hold harmless the Company from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms or Policies, or (d) your violation of any law or third-party rights.
15. General terms
15.1. Governing law. The governing law will be specified in the version of these Terms applicable to your jurisdiction, subject to mandatory consumer protection laws.
15.2. Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
15.3. Assignment. We may assign these Terms and our rights and obligations to an affiliate or successor. You may not assign your rights under these Terms without our prior written consent.
15.4. Entire agreement. These Terms and incorporated Policies constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements on that subject.
